Listing Agreement

Broker will be paid the commission from whoever purchases the Business and by the Seller.
1. The Seller hereby engagers PK PROPERTY known here under as Broker on a sole and exclusive basic to sell the business hereby described including all during the extrudes, good will, inventory, and client list
2. Seller agrees to pay broker a fee, in cash, equal to 8 % of the total gross sales price (including inventory) Said fee shall be payable to Broker if ;
3.Said fee shall be payable to Broker if;
  1. Broker procures a buyer during the period of this agreement for the business listed above at the price and terms stated above or at any other price and terms agreeable to Seller, or any other business owner chooses to sell to purchaser introduced to Seller by Broker during the listing term.
  2. Owner or anyone sells, leases, exchanges, accepts a partner, attempts to cancel or otherwise circumvent this Agreement, tents or otherwise transfers possessions of the property during the period of the term of this agreement.
  3. The business herein is sold, lease or in any manner conveyed to a party within eighteen(18) months after this Agreement, who had been aware of the Business through Broker efforts, during the listed term.
  4. It is expressly understood that Broker’s fee shall be payable in full upon the occurrence of any of the events described in 3(a) through 3(c) herein.
4. In any case where the buyer’s deposit and / or down payment have been forfeited this amount shall be paid 100% to broker; providing such fees earned by Broker shall not exceed their normal commission.
5.This Agreement is for a period of Twelve (12) months and shall continue for an additional six months unless cancelled in writing and must be certified mail by the Seller at least thirty (30) day notice before the initial contract Twelve (12) months term ends. When necessary the Seller must provide the proof of mail notice to the court to avoid the commission issues.
6. Should any suit be commenced to enforce the Broker’s rights here under, and in the event the Broker is successful, the seller agrees to pay Broker the expenses such as all court filing fees, preparation of documents, personal expense cost(s), advertisements and unforeseen costs in connection therewith, including attorney’s fees.
7.If Seller is a partnership, Corporation or other entity hereby represent(s) and warrant(s) that he/she has or they have the authority to enter into this contract on behalf of said entity.
8.Seller represents and warrants that all the information contained in this contract and documentation that “Business Profile and Schedule” is correct to the best of his/her knowledge, and that no misrepresentation are made therein.
9.Seller will indemnify Broker from any legal action brought by Buyers Assignees or their heirs as the result of any misrepresentations made by Seller including legal costs and / or judgments.
10.Seller shall and is obligated to inform and provide buyer’s names and all of other information during period of negotiation and contract term to Broker, Peter Han.
